The deal, in plain English.
Four minutes to read. This is the whole agreement for every Sidecar plan, so both of us know what was agreed without reconstructing it from memory.
Who's who
Provider: Sidecar Growth LLC, a Utah limited liability company. Matt Conn, matt@sidecargrowthhq.com, (760) 709-6720. Client: the business named on the start form and the payment page, and the person who signs or pays for it ("you").
1. What we do
Whatever your plan lists on the pricing page on the day you start. Every plan includes a website we build, host and keep secure, with unlimited edits. Plans above Website add Google Business Profile management, review requests, citations, call tracking, monthly reporting, new pages and articles, and the Lead Loop, as the table shows.
2. What we don't do
Anything against Google's rules. We never write reviews or pay for them. Paid ads are a separate agreement at the rates on the pricing page, and ad spend is always billed to your own ad account, never to us.
3. Price and billing
The monthly price shown on your payment page, billed monthly to the card on file through Stripe. No setup fee unless the pricing page says so. A limited-time or founding price stays yours for as long as you stay on that plan.
4. No long-term contract
Every plan is month to month. Either of us can end it with thirty days' written notice (an email counts). Your last charge is the month the notice runs out. There's no cancellation fee.
5. When it starts
Your start date is the day we have access to your Google Business Profile, your domain and your analytics. If we can't get into the Google listing within fourteen days of your first payment and the hold-up is on Google's side or ours, you can cancel and get that payment back in full.
6. Your website
The site is part of the plan: we build it, host it and keep it running for as long as you're a client. If you leave in the first twelve months, you keep your domain, your photos, your logo and all the written content, and we'll hand them over within ten days. The design and the hosting stay with Sidecar. After twelve months on any plan, you can take the whole site with you, as is, at no charge.
7. What we promise, and what we don't
We promise the work on your plan, done every month, and an honest report of calls, rank and reviews. We don't promise a ranking, a number of calls, or revenue. Nobody can, and the ones who do are guessing. If the numbers aren't moving, the report will say so, and you can leave with thirty days' notice.
8. Access and accounts
Your Google Business Profile, domain and ad accounts stay in your name. We get manager access, never ownership. If we set up a tracking number for you, it's yours to keep or port when you leave.
9. The boring but necessary part
We're a vendor, not a partner or an employee. Our liability for anything under this agreement is capped at what you paid us in the three months before the issue. Utah law applies. If something goes wrong, we talk first, in writing, before anyone does anything else.
10. Agreeing to this
Paying through the start link, or paying your first invoice, is acceptance of these terms. We'll email you a copy. If we change them, you'll get thirty days' notice and the old terms apply until then.
